Project scope and deliverables are defined separately within specific client proposals or contracts.
3. Intellectual Property
Client Ownership
Upon full payment, the client receives ownership rights to custom-developed deliverables specifically created for their project.
Cogear Retained Rights
Cogear retains ownership of internal frameworks, generic code libraries, reusable components, and pre-existing intellectual property. We reserve the right to reuse non-confidential technical solutions.
4. Payments & Invoicing
Upfront Deposit
50% initial payment required before project commencement.
Milestones
Incremental payments based on delivery of agreed project phases.
Final Delivery
Final balance settlement required before source code or deployment.
8. Limitation of Liability
Clear boundaries for professional accountability.
Cogear shall not be liable for indirect damages, loss of profits, or data loss. Our total liability shall not exceed the amount paid for the specific service provided.

10. Project Termination
Either party may terminate a project through written notice. In such cases:
- Payment for completed work up to termination date applies.
- Deposits may be non-refundable depending on progress.
- Work remains Cogear property until outstanding balances are cleared.
